1. Agreement to Terms

By accessing or using VaraOS ("the Platform"), including our website at https://varaos.com and all related services, applications, and tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and VaraOS. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

VaraOS is an AI-powered automation platform that enables users to build, automate, and scale workflows using artificial intelligence. Our Services include but are not limited to:

• AI-powered workflow creation and management
• Third-party application integrations
• Automation execution and monitoring
• Analytics and performance insights
• Template marketplace and community resources

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration & Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, phishing messages, or any unsolicited bulk communications
• Upload, transmit, or distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

• Scrape, mine, or extract data from the Services without authorization
• Use the Services for any illegal, fraudulent, or deceptive activities
• Reverse engineer, decompile, or disassemble any portion of the Services

• Impersonate any person or entity or misrepresent your affiliation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

5. Intellectual Property

The Services, including all content, features, functionality, software, designs, graphics, trademarks, and logos, are owned by VaraOS and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Services without our prior written consent.

6. User Content

You retain ownership of any content, workflows, data, and configurations you create using the Services ("User Content"). By using the Services, you grant VaraOS a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Services.

You are solely responsible for your User Content and represent that you have all necessary rights to use it within the Services. We do not claim ownership of your User Content and will not use it for purposes other than delivering the Services unless you explicitly consent.

7. Payment & Billing

VaraOS offers the following pricing tiers:

• Free Plan: No charge, includes limited features and usage quotas
• Starter Plan: $5.49 per month (USD), billed monthly, includes expanded features and higher usage limits

All paid plans are billed in US Dollars (USD). By subscribing to a paid plan, you agree to:

• Provide valid and current payment information
• Authorize recurring charges at the applicable subscription rate
• Pay all applicable taxes as determined by your jurisdiction

Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.

Price Changes: We may update pricing from time to time. You will be notified at least 30 days in advance of any price increase. Continued use after the effective date constitutes acceptance of the new pricing.

8. Termination

Either party may terminate this agreement at any time. You may delete your account through your account settings or by contacting [email protected].

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for illegal or unauthorized activities
• Required by law or regulatory authority
• Your account has been inactive for an extended period (12+ months)

Upon termination, your right to use the Services ceases immediately. We will provide you with a reasonable opportunity to export your data before deletion, except in cases of severe Terms violations. Data may be retained as required by law.

9. Disclaimers & Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARAOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless VaraOS, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

11. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If the dispute cannot be resolved informally, both parties agree to resolve any disputes through binding arbitration, rather than in court, except for claims that qualify for small claims court.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal proceedings arising out of or relating to these Terms shall be brought in the courts of competent jurisdiction.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may provide additional notice via email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
